Terms of engagement

The basis on which we work

An outline of how engagements are scoped and delivered, where independence sits, and what each party is responsible for. Every engagement is confirmed in a written scope.

Basis of engagement

Each engagement is defined in a written scope agreed before work begins, covering objectives, sites or vessels in scope, applicable frameworks, deliverables and timing.

These terms apply alongside that scope. Where the two differ, the agreed scope governs.

Independence and role

We act as an independent adviser and auditor. We are not a regulatory authority and do not issue, withhold or influence official inspection scores, certificates or clearances.

Our work helps organisations understand, assess and prepare for the requirements of frameworks such as USPH/VSP, SHIPSAN and IHR 2005. Responsibility for compliance remains with the operator.

Client responsibilities

Providing safe and timely access to the areas, systems, records and personnel required for the agreed scope.

Providing accurate and complete information. Findings reflect the conditions observed and the documentation made available at the time of the engagement.

Deciding on and implementing corrective actions, and allocating the resources they require.

Deliverables and limitations

Reports describe observations, risks and recommended actions as at the date of assessment. They are not a guarantee of any future inspection outcome.

Deliverables are prepared for the client's internal use and for the purpose stated in the scope. They should not be relied upon by third parties without our written agreement.

Confidentiality

Both parties treat commercial and operational information exchanged during an engagement as confidential, other than information already public or required to be disclosed by law.

Our handling of information is described in the privacy notice.

Fees and expenses

Fees, travel, accommodation and any port or vessel access costs are set out in the engagement proposal and invoiced as agreed there.

Where scope changes materially — additional sites, vessels, frameworks or attendance days — the change is confirmed in writing before it is carried out.

Cancellation and rescheduling

Where an engagement is postponed or cancelled at short notice, unrecoverable travel and access costs already committed remain payable. We aim to reschedule rather than cancel wherever operations allow.
